By sending your first message to TaxPigeon or creating an account, you agree to be bound by these Terms. If you do not agree, please do not use the service.
These Terms form a legally binding contract between you and Rivara Consulting Ltd ("TaxPigeon", "we", "us").
1. About TaxPigeon
TaxPigeon is a digital record-keeping and tax preparation assistant delivered via WhatsApp, operated by Rivara Consulting Ltd, a company registered in England and Wales. TaxPigeon helps self-employed individuals, freelancers, and small business owners organise receipts and income records, and prepare Making Tax Digital (MTD) submissions to HMRC.
⚠️Important: TaxPigeon is a software tool, not a regulated financial or tax advisory service. We are not a tax adviser, accountant, or HMRC agent. Nothing in this service or these Terms constitutes professional tax, legal, accounting, or financial advice. For complex tax matters, please consult a qualified and regulated accountant or tax adviser.
2. Eligibility
To use TaxPigeon, you must:
- Be at least 18 years of age
- Be a UK taxpayer using the service for lawful purposes
- Have the authority to submit tax information to HMRC on your own behalf (or be duly authorised to act on behalf of a business)
- Provide accurate information when registering and using the service
By using TaxPigeon, you confirm that you meet these eligibility requirements. We reserve the right to suspend or terminate access if we have reason to believe eligibility requirements are not met.
3. Your Account and Security
Access to TaxPigeon is linked to your WhatsApp number. You are responsible for:
- Keeping your WhatsApp account and any dashboard credentials secure and confidential
- All activity that takes place through your account, whether authorised by you or not
- Notifying us immediately at support@taxpigeon.co.uk if you suspect unauthorised access to your account
- Ensuring that any HMRC OAuth authorisation you grant through TaxPigeon reflects your genuine intent
We will never ask for your passwords or HMRC Government Gateway credentials via WhatsApp. Do not share these with anyone.
4. The Service We Provide
4.1 What TaxPigeon Does
- Accepts and stores receipts and income records you submit via WhatsApp
- Uses AI (provided by Anthropic) to analyse and categorise your receipts
- Maintains a running record of your income and expenses
- Prepares quarterly MTD-compatible summaries for your review
- With your explicit authorisation, submits MTD returns to HMRC on your behalf
4.2 What TaxPigeon Does Not Do
- Provide personalised tax advice or tell you how much tax you owe
- Guarantee the accuracy of AI-generated expense categorisations
- File on your behalf without your explicit review and authorisation
- Act as your tax agent with HMRC for any purpose beyond what you specifically authorise
- Replace the need for professional advice in complex or unusual tax situations
4.3 Service Availability
We aim to make TaxPigeon available 24/7, but we do not guarantee uninterrupted access. The service may be unavailable due to maintenance, technical issues, or circumstances beyond our control. We will endeavour to provide advance notice of planned downtime where possible.
5. Your Responsibilities
You are solely responsible for the accuracy and completeness of all information you submit through TaxPigeon. Specifically, you must:
- Ensure all income, expenses, and receipts you log are genuine, accurate, and relate to your trade or business
- Review all AI-categorised expenses before accepting or submitting them — AI categorisation is an aid, not a final determination
- Review your quarterly figures carefully before authorising any HMRC submission
- Maintain your own underlying records and source documents as required by HMRC — TaxPigeon is not a substitute for your record-keeping obligations
- Meet all applicable HMRC deadlines — it is your responsibility to know your filing obligations
- Notify us promptly if any data stored in TaxPigeon is inaccurate so we can correct it
⚠️You are legally responsible for the accuracy of your tax submissions to HMRC. Submitting inaccurate information — even if generated by an AI tool — is your responsibility. TaxPigeon makes this process easier, but it does not remove your personal obligations to HMRC.
6. Acceptable Use
You agree to use TaxPigeon only for lawful purposes and in accordance with these Terms. You must not:
- Submit false, fabricated, or fraudulent information to HMRC through TaxPigeon
- Use the service to facilitate tax evasion or any other illegal activity
- Attempt to access, interfere with, or compromise the accounts or data of any other user
- Reverse engineer, decompile, or attempt to extract the source code of any part of TaxPigeon
- Use automated scripts, bots, or other tools to interact with TaxPigeon in a manner not intended for human users
- Transmit malicious code, viruses, or any content designed to harm the service or its users
- Use the service in any way that could damage our reputation or that of our partners
- Resell, sublicense, or otherwise commercialise access to TaxPigeon without our prior written consent
Breach of these acceptable use provisions may result in immediate account suspension, termination, and where appropriate, referral to relevant authorities.
7. AI-Powered Features
TaxPigeon uses artificial intelligence to analyse receipts and categorise expenses. You acknowledge and accept that:
- AI categorisation is probabilistic and may not always be correct
- You are responsible for reviewing and confirming all categorisations before they form part of your tax records
- We make no warranty that AI outputs are accurate, complete, or suitable for your specific tax circumstances
- Your receipt images are processed by Anthropic's AI systems under a data processing agreement — see our Privacy Policy for full details
The AI tools we use are designed to assist, not replace, your own judgement and the advice of qualified professionals where relevant.
8. HMRC Integration
If you choose to authorise TaxPigeon to submit MTD returns to HMRC on your behalf:
- You grant us a limited, revocable authorisation to interact with HMRC's MTD API solely for the purpose of submitting your quarterly income summaries
- This authorisation does not make us your tax agent for any other purpose
- You remain solely responsible for the accuracy and timeliness of all submissions
- You can revoke this authorisation at any time from your dashboard or by contacting us
- We will only submit to HMRC after you have explicitly confirmed the figures are correct
TaxPigeon is not responsible for any HMRC penalties, interest charges, or compliance failures arising from inaccurate information you have provided or from your failure to review submissions before authorisation.
9. Fees and Payment
Details of subscription fees, free trial periods, and payment terms are set out at taxpigeon.co.uk/pricing. The following general terms apply:
- Fees are quoted in pounds sterling and are inclusive of VAT where applicable
- Subscriptions renew automatically unless cancelled before the renewal date
- You may cancel at any time; cancellation takes effect at the end of the current billing period — no partial refunds unless required by law
- We reserve the right to change our fees on not less than 30 days' written notice
- If payment fails, we may suspend access to the service until payment is received
10. Intellectual Property
All intellectual property rights in TaxPigeon — including the software, AI models, branding, and content — are owned by or licensed to Rivara Consulting Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the service for your personal or business tax record-keeping purposes only.
You retain ownership of all data and records you submit to TaxPigeon. By submitting content, you grant us a limited licence to process and store that content solely for the purposes of providing the service to you.
11. Limitation of Liability
11.1 What We Are Responsible For
We do not exclude or limit our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, and any other liability that cannot be excluded or limited by English law.
11.2 What We Are Not Responsible For
To the fullest extent permitted by law, TaxPigeon is not liable for:
- Errors, omissions, or inaccuracies in AI-generated expense categorisations
- Any HMRC penalties, surcharges, interest, or enforcement action arising from your tax submissions
- Missed filing deadlines, whether or not caused by service unavailability
- Any loss or corruption of data caused by circumstances beyond our reasonable control
- Any indirect, consequential, special, or incidental loss, including loss of profits or business
- Losses arising from your failure to review and verify information before submission to HMRC
11.3 Cap on Liability
Where liability cannot be fully excluded, our total aggregate liability shall not exceed the greater of: (a) the total fees you have paid to TaxPigeon in the 12 months immediately preceding the event giving rise to the claim, or (b) £100.
⚠️The limitations above reflect the nature of TaxPigeon as a self-service tool. TaxPigeon is designed to make your record-keeping easier — it is not a substitute for professional advice or your own diligence. We price the service accordingly.
12. Indemnity
You agree to indemnify, defend, and hold harmless Rivara Consulting Ltd, its directors, employees, and subcontractors from and against any claims, losses, damages, and costs (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your submission of inaccurate, false, or fraudulent information to HMRC or to TaxPigeon
- Your violation of any applicable law or third-party rights
13. Suspension and Termination
13.1 Your Right to Cancel
You may close your account at any time from your dashboard or by contacting us at support@taxpigeon.co.uk. Upon closure, your data will be deleted in accordance with our Privacy Policy (within 30 days, subject to legal retention obligations).
13.2 Our Right to Suspend or Terminate
We may suspend or terminate your access, with or without notice, if:
- You breach any provision of these Terms, including the acceptable use provisions
- We reasonably suspect fraudulent or illegal activity through your account
- You fail to pay any fees due
- We are required to do so by law or a regulatory authority
13.3 Effect of Termination
Upon termination, your licence to use TaxPigeon ends immediately. Clauses that by their nature should survive termination (including Sections 5, 10, 11, 12, and 15) will continue in full force.
14. Changes to the Service and These Terms
We may update TaxPigeon or these Terms from time to time. When we make material changes, we will:
- Notify you via WhatsApp at least 14 days before the changes take effect
- Update the 'Last updated' date at the top of this document
Your continued use of TaxPigeon after the effective date of updated Terms constitutes your acceptance of the changes. We will not make changes that reduce your rights under these Terms without giving you the opportunity to exit.
15. Governing Law and Disputes
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.
We hope that any concerns can be resolved quickly and informally. If you have a complaint, please contact us at support@taxpigeon.co.uk in the first instance. We will acknowledge your complaint within 5 business days and aim to resolve it within 20 business days. If we are unable to resolve a dispute informally, both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
16. General
Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TaxPigeon regarding your use of the service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity in connection with a merger, acquisition, or sale of assets.
Third parties: These Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.
Force majeure: We are not liable for any failure to perform our obligations where such failure results from circumstances beyond our reasonable control, including acts of God, government action, or third-party service outages.
